Job summary

PilieroMazza PLLC is seeking an attorney with 2-4 years of experience to join its Business & Transactions practice group in Washington, DC. The qualified candidate will have experience with M&A transactions, including drafting and negotiating stock and asset purchase agreements, financing agreements, and other transaction documents, as well as assisting in due diligence and closings.

Experience with entity formation and governance documents is also preferred, and government contractor experience

Qualifications

Job description

PilieroMazza PLLC is seeking an attorney with 2-4 years of experience to join its Business & Transactions practice group.

The qualified candidate will have experience working on Mergers and Acquisitions (M&A) transactions, including assisting in drafting and negotiating stock and asset purchase agreements, financing agreements, and other transaction documents, and assisting in due diligence and closings. This includes supporting a deal team in complex mergers, business restructurings, asset purchase and sale transactions, equity purchase and sale transactions, financing rounds from individual investors as well as private equity and venture capital firms, and executive compensation and synthetic equity offerings.

The qualified candidate will also have experience with entity formation and structuring, drafting and amending limited liability company agreements, shareholders agreements, partnership agreements and employee incentive plans. Experience working with government contractors is also a plus, but not a requirement. The successful candidate will have outstanding negotiation and communication skills, with sharp attention to detail, and will work well as part of a collaborative team.

Applicants should be admitted to practice in or eligible for prompt admission into the District of Columbia. Maryland and/or Virginia admissions are encouraged. This is a full-time, hybrid position based in our Washington, DC office. We will also consider candidates outside the DMV area, working a fully remote schedule.
