Prometheus Group is seeking an experienced Contracts Manager to negotiate and manage customer contracts, including software licenses, services, and subscriptions, in a fast-growing software company backed by major private equity firms.

The ideal candidate holds a JD, NC Bar admission or waiver, 7+ years of contract negotiation experience, and software industry or PE-backed experience; you will help standardize negotiation guidelines and document terms in the CRM and support rapid growth.

• NC Bar licensed or actively waiving in.
• 7+ years of legal and/or contract negotiation experience.
• Experience in software industry and/or PE-backed environments preferred.
• Ability to work under time constraints and deadlines.

Responsibilities

• Negotiate and manage customer contracts, including software licenses, professional services, and subscription agreements.
• Negotiate and manage reseller/referral agreements and other corporate contracts.
• Build infrastructure to support growth and document terms in the CRM system (Salesforce).
• Manage the contract execution process and support sales with RFPs and NDA reviews.
• Provide legal review and support on vendor contracts and real estate leases.
• Collaborate with other departments and assist on critical projects as needed.

Job description

Prometheus Group is seeking an experienced Contracts Manager. The Contracts Manager will be responsible for the negotiation and management of the company’s customer contracts. This position will provide an opportunity to join a successful, rapidly growing software company that is backed by some of the most reputable private equity firms in the world such as Advent, LGP, and Genstar. An ideal candidate will bring the skills and aptitude necessary to manage the increasing complexity of the company’s global operations driven by the company’s continued expansion. Success in this role will provide opportunities for increased levels of responsibility within the company.

Responsibilities

• Negotiating and managing the Company’s customer contracts, including software license agreements, professional services contracts, and subscription agreements
• Negotiating and managing other corporate contracts, including reseller/referral agreements
• Building infrastructure to support the Company’s growth, including the creation of standardized negotiation guidelines and documentation of contract terms in the Company’s CRM system (salesforce)
• Managing the contract execution process
• Supporting the Company’s sales function, including assisting with RFP responses, completing vendor registration forms, and reviewing NDAs
• Providing other legal support and review as needed, including vendor contracts and real estate leases
• Working closely with other departments within the Company
• Assisting with other critical projects as needed

Requirements

• Juris Doctor required
• NC Bar licensed or actively waiving in
• A minimum of 7 years of legal and/or contract negotiation experience required with demonstrated progression in the scope of responsibilities
• Prior experience working in the software industry and/or working with software companies preferred
• Private equity portfolio experience preferred
• Ability to work effectively under time constraints and deadlines
