Penguin Solutions is seeking a Director, Commercial Legal to partner with Sales, Product and Operations on high-impact, global commercial transactions. The role owns the commercial contracting function end-to-end, shaping strategy and priorities to support rapid AI-driven growth.

This position requires a JD, active bar membership, 12+ years in commercial contracting, and strong cross-functional collaboration in a remote, fast-paced environment. Hybrid location in the US is supported.

Qualifications

• JD from an accredited law school.
• Active bar membership in good standing.
• 12+ years of relevant legal experience, with substantial commercial contracting expertise.
• Demonstrated ability to independently negotiate complex customer and vendor agreements.
• Experience supporting technology, hardware, infrastructure, or supply chain-driven businesses.
• Excellent communication skills with both legal and non-legal stakeholders.
• Comfort operating in a remote, fast-paced, and cross-functional environment.
• Comfortable using AI tools in legal workflows, with an interest in deploying AI to improve efficiency, quality, and scalability.

Responsibilities

• Own large, complex commercial transactions end-to-end, from structuring through negotiation and execution.
• Lead drafting, review, and negotiation of commercial agreements including enterprise customer, vendor, and supply chain agreements.
• Balance legal risk, deal velocity, and commercial objectives in a fast-moving environment.
• Provide clear, actionable guidance to business stakeholders on contract structure, risk allocation, and negotiation strategy.
• Advise on delivery, acceptance, performance standards, warranty frameworks, and liability in multi-party environments.
• Partner with operations and supply chain to align contracts with deployment and scaling needs.
• Develop contract templates and playbooks to scale deal volume and enable business growth.
