Job summary

Fermi is seeking an experienced Deputy General Counsel to lead and support complex financing and capital markets matters for Project Matador and the broader Fermi portfolio. The successful candidate will bring substantial experience in project finance, leveraged finance, corporate debt, and/or debt and equity capital markets, and be capable of independently leading sophisticated transactions.

Qualifications

• Juris Doctor degree from an ABA-accredited law school.
• Active license to practice law in at least one U.S. jurisdiction; Texas bar preferred.
• 7–10 years of full-time legal experience in finance or corporate law.
• Extensive experience in project finance, leveraged finance, and debt/equity markets.
• Ability to lead complex transactions and coordinate multiple stakeholders.

Responsibilities

• Lead project finance, corporate debt, and structured financing transactions.
• Support debt and equity capital markets transactions including offerings.
• Draft, review, and negotiate credit agreements and related docs.
• Advise on SEC reporting and NASDAQ/LSE listing requirements.
• Manage due diligence, closings, and post-closing compliance.
• Coordinate internal teams and outside counsel on matters.
• Assist with M&A, joint ventures, and real estate transactions as needed.
• Provide practical, business-oriented legal guidance across the organization.
