Job summary

Fermi America seeks an experienced Deputy General Counsel to lead and support complex financing and capital markets matters related to Project Matador and the broader organization.

The successful candidate will bring substantial experience in project finance, leveraged finance, and debt and equity capital markets, and be capable of independently leading transactions, coordinating internal and external deal teams, and providing practical, commercially focused advice to business leaders.

Qualifications

• Juris Doctor degree from an ABA‑accredited law school.
• Active license to practice law; Texas bar preferred.

Responsibilities

• Lead project finance, corporate debt, and structured financing transactions for Project Matador.
• Support debt and equity capital markets transactions (registered offerings, private placements).
• Draft, review, and negotiate credit agreements, indentures, and related financing docs.
• Advise on SEC reporting obligations and NASDAQ/LSE listing requirements.
• Manage lender/investor due diligence, closings, and post‑closing covenant compliance.
• Engage outside counsel for financing and capital markets matters.
• Assist with mergers, acquisitions, joint ventures, and real estate transactions as needed.
• Provide cross‑functional, business‑focused legal guidance to leadership.
