Job summary

Fermi Inc, doing business as Fermi America, is seeking an experienced Deputy General Counsel to oversee commercial litigation, arbitration, and pre-litigation disputes while providing broad legal support across its operations and portfolio.

The successful candidate will manage outside counsel, translate complex risks into practical recommendations, and work with executives and business teams in a fast-paced, evolving environment. A JD, TX bar preferred, and 7–10 years of experience are expected.

Qualifications

• Juris Doctor from an ABA-accredited law school.
• Active license to practice law in at least one U.S. jurisdiction; Texas Bar preferred.
• 7–10 years of full-time legal experience, in large firm or in-house settings.
• Substantial commercial litigation experience in state/federal courts and arbitration.
• First- or second-chair responsibility in significant disputes.
• Meaningful transactional experience drafting and negotiating commercial contracts.
• Ability to select and manage outside counsel, control litigation costs, and manage budgets.
• Strong written and oral advocacy, negotiation and interpersonal skills.
• Sound judgment translating legal exposure into practical business advice.

Responsibilities

• Manage commercial litigation, arbitration, and pre-litigation disputes (construction, procurement, vendor matters).
• Develop case strategy and oversee matters through investigation, discovery, motion practice, trial, arbitration, settlement, and appeal.
• Select, engage, and supervise outside litigation counsel with budgeting oversight.
• Prepare case assessments and risk analyses for senior management and the Board.
• Oversee holds, e-discovery, subpoenas, and information governance processes.
• Draft, review, and negotiate commercial, vendor, procurement, and construction agreements.
• Assist with mergers & acquisitions, financing, real estate, and other transactions.
• Advise business teams on procurement, employment, operational, and commercial matters.
• Identify emerging risks and implement proactive dispute-avoidance strategies.
• Provide cross-portfolio legal support as required.
