Job summary

The Ultimate Human is seeking a senior legal leader to own the legal function for Ultimate Shares and related entities. You will partner with executive leadership to provide practical guidance, manage compliance programs, and guide complex fund and corporate transactions in a fast-growth, wellness-focused environment.

Qualifications

• 8+ years of experience as front-line legal counsel in fast-growth environments.
• Substantive experience with private funds or private investments.
• Experience with Investment Advisers Act/Investment Company Act and overseeing compliance.
• In-house experience at an investment manager, family office, or startup preferred.
• Strong contracting skills and ability to negotiate complex agreements.
• Experience advising on regulatory, compliance and risk matters; FDA/FTC exposure is a plus.
• US bar admission; Florida bar a plus.

Why This Role Matters

This person will own the legal function for Ultimate Shares, its manager and its portfolio of high-growth partner and owned brands, while working alongside our in-house Chief Financial & Legal Officer on our flagship platform.

This is a high-impact role for an attorney who enjoys operating at the intersection of law and business. You will provide practical legal guidance, identify risks early, create scalable solutions, and help the company move quickly while staying protected and compliant.

You will play a critical role in building and evolving our legal and compliance infrastructure to institutional standards. That includes overseeing our outsourced Chief Compliance Officer, maintaining a compliance program appropriate for an exempt reporting adviser and built to scale with the business, and serving as a steady point of contact for fund counsel, administrators, auditors and investors. You will also help guide the company through continued growth into new markets, business categories and investor relationships.

What You'll Own

Strategic Legal Advisory

• Serve as a trusted legal partner to executive leadership and business teams on strategic initiatives, growth opportunities and operational decisions.
• Provide practical, business-oriented legal guidance that enables innovation while managing risk.
• Identify legal issues proactively and develop solutions that support company objectives.
• Support new business initiatives, market expansion, partnerships and product launches.

Fund & Investment Transactions

• Serve as day-to-day legal lead for Ultimate Shares and Ultimate Manager, including the operating agreement, offering and subscription documents, side letters and investor consents.
• Manage private placement compliance, including Form D and state notice filings, investor eligibility and requirements for non-U.S. investors.
• Oversee legal aspects of investor onboarding with the fund administrator, including KYC/AML and sanctions screening.
• Lead legal execution of new investments, follow-on investments, restructurings and exits, including term sheets, definitive agreements, cap tables and investor rights.
• Document and manage transactions between the fund, the manager, The Ultimate Human and portfolio companies so they follow fund governance and approval processes.
• Support valuation governance, investor reporting and the annual audit from a legal perspective, in partnership with finance.

Compliance Program Oversight

• Oversee the engagement and performance of our outsourced Chief Compliance Officer and compliance consultants, and serve as the internal owner of the compliance program.
• Maintain compliance policies appropriate for an exempt reporting adviser, including code of ethics, personal trading, confidential information, gifts and entertainment, and political contributions. Scale the program as the business grows.
• Own the regulatory filing calendar, including Form ADV (exempt reporting adviser), Form D amendments and related state filings.
• Review investor materials and public communications, including website, social and podcast content that references the fund or its portfolio, for securities-law considerations.
• Maintain anti-corruption, sanctions and anti-money-laundering controls for cross-border investor and partnership activity.
• Keep books, records and documentation in diligence-ready and regulator-ready condition.

Commercial Transactions & Contract Management

• Lead negotiation and management of commercial agreements, including strategic partnerships, vendor agreements, service agreements, licensing and revenue-share agreements, sponsorships, NDAs, incentive equity plans and other business contracts.
• Develop and maintain contract templates, playbooks and negotiation guidelines.
• Establish scalable contract management processes, systems and workflows.
• Track contract obligations, renewals, deadlines and key business terms.

Regulatory & Compliance

• Advise on regulatory considerations affecting health, wellness, supplements, cosmetics, consumer products, marketing and digital content.
• Review marketing claims, advertising materials, endorsements, influencer partnerships and consumer-facing communications for legal and regulatory considerations.
• Coordinate with specialist counsel on franchise matters and on healthcare regulatory matters for clinic and longevity businesses.
• Oversee privacy and consumer data protection, including health-related data, website tracking and subscription and auto-renewal practices.
• Support corporate compliance requirements, business registrations, licenses, filings and operational obligations.
• Monitor evolving federal, state, local and international regulations and translate requirements into actionable guidance.

Intellectual Property & Brand Protection

• Support trademark, copyright and intellectual property strategy across owned brands, products and content.
• Manage IP filings, renewals, licensing and protection initiatives.
• Monitor potential infringement issues and recommend appropriate action.
• Partner with internal teams to protect and strengthen brand assets.

Corporate Governance & Risk Management

• Oversee corporate governance matters and support organizational compliance, including state registrations and annual filings across investment vehicles, the manager and controlled portfolio companies.
• Maintain legal documentation, records and internal legal infrastructure, including documentation of board, member and investor approvals.
• Manage disputes and litigation with outside counsel, and support insurance coverage reviews (D&O/management liability, E&O and cyber).
• Identify operational risks and implement processes to mitigate exposure.
• Develop legal SOPs, policies and best practices to support company growth.

Cross-Functional Partnership

• Partner closely with finance, investor relations, operations, marketing, partnerships, product and executive leadership.
• Serve as primary liaison with fund counsel, specialist counsel and other advisors.
• Manage outside legal resources effectively and ensure efficient use of legal spend.
• Provide clear, practical guidance that helps teams execute confidently.
• As needed, support The Ultimate Human's media and content business on matters such as talent and guest agreements, sponsorships, content clearances and endorsement review.

What You Bring

• 8+ years of experience as front-line legal counsel, combining top law firm and/or in-house experience in a fast-paced, high-growth environment.
• Substantive experience with private funds or private investments, including fund documents, private placements, and venture, growth equity or M&A transactions. Cross-border experience is a plus.
• Working knowledge of the Investment Advisers Act and Investment Company Act as they apply to private fund managers, and experience working with or overseeing a compliance function. Outsourced CCO oversight experience is a plus.
• Experience working in-house at an investment manager, family office, startup, growth company, consumer brand or similarly entrepreneurial environment preferred.
• Strong commercial contracting experience with the ability to independently negotiate and manage complex agreements.
• Experience advising businesses on operational, regulatory, compliance and risk matters. Exposure to FDA/FTC regulation of consumer health products, franchising, or media and advertising law is a plus.
• Active bar admission and good standing in at least one U.S. jurisdiction. Florida bar admission, or eligibility to register as Authorized House Counsel in Florida, is a plus.
• Ability to satisfy background checks and regulatory certifications customary for investment management roles.
• Experience building legal processes, systems and infrastructure from the ground up.
• Ability to operate independently, prioritize competing demands and make sound judgment calls in a fast-moving environment.
• Strong business acumen and the ability to balance legal risk with commercial objectives.
