Job summary

HavocAI is seeking a Government Contracts & Compliance Counsel to support a growing U.S. Government and defense portfolio.

This cross-functional role partners with leadership, contracts, finance, strategy, programs, and engineering to translate complex government contracting requirements into practical guidance. You will handle the full contract lifecycle—from capture through closeout—and help build scalable compliance infrastructure while advising executives on risk in a fast-paced growth

Qualifications

• J.D. from an accredited U.S. law school and active bar membership.
• 7+ years of relevant legal experience, including U.S. Government contracting and federal procurement law.
• Strong knowledge of FAR/DFARS and government contracting requirements.
• Experience advising defense contractors, aerospace/tech firms, or DoD contractors.

Responsibilities

• Provide counsel across the lifecycle of U.S. Government contracts and related agreements.
• Draft, review, and negotiate prime contracts, subcontracts, NDAs, and other gov't-facing documents.
• Advise on FAR, DFARS, agency supplements, flow-downs, and certifications.
• Collaborate with Contracts, Finance, Strategy, and Programs teams on solicitations and negotiations.
• Advise executives on risk, contract interpretation, changes, disputes, and IP issues.
