Job summary

The People Of: Professional Services seeks an Associate Attorney in Debt Finance in the United States with 3–6 years of experience to join a collaborative team handling sophisticated mid-market transactions.

You will advise lenders and borrowers on financings, draft and review loan documents, manage diligence, and close complex deals, with strong mentorship and clear opportunities for growth in a busy finance practice.

Qualifications

3–6 years of debt finance or secured lending experience.
Strong drafting and negotiating of credit and loan documents.
Familiarity with secured transactions, including UCC Article 9.

Responsibilities

Represent lenders, arrangers, agents, and borrowers in syndicated and bilateral credit facilities.
Draft, review, and negotiate a wide range of loan and finance documents.
Advise on secured lending structures, including first lien, second lien, and unsecured transactions.
Support leveraged acquisitions, revolving credit facilities, and term loan financings.
Conduct and manage due diligence processes, including organizational and lien review.
Coordinate and execute complex deal closings.
Negotiate third-party deliverables such as control agreements and related instruments.
Collaborate closely with clients across industries, including financial institutions, private equity sponsors, and mid-market companies.
