  • Draft and review credit agreements, security docs, and intercreditor agreements.

Job Overview

A prominent law firm is seeking an associate attorney with 3 to 6 years of experience to join its Debt Finance practice. This role focuses on representing private equity sponsors and corporate borrowers in a wide range of financing transactions, including leveraged acquisitions, restructurings, and syndicated lending. The ideal candidate will bring strong experience handling secured and unsecured debt transactions and an ability to navigate complex deal structures in a fast-paced, client-facing environment.

Duties
  • Structure, draft, and negotiate secured and unsecured financing transactions
  • Represent both borrowers and lenders in senior, mezzanine, and subordinated debt matters
  • Advise on leveraged acquisition financings, refinancing arrangements, and recapitalizations
  • Handle loan restructurings, workouts, and amendment processes
  • Draft and review credit agreements, security documentation, and intercreditor agreements
  • Work directly with private equity sponsors and corporate finance teams
  • Coordinate with internal and external parties to manage transaction execution
Requirements
  • 3 to 6 years of relevant experience in debt finance or banking and finance law
  • Proven experience with leveraged finance transactions, particularly in M&A contexts
  • Ability to manage multiple complex transactions simultaneously
  • Experience working with private equity clients is highly desirable
Education
  • Juris Doctor (JD) from an accredited U.S. law school
  • Strong academic credentials required
Certifications
  • Admission to the bar in at least one U.S. jurisdiction
