Job summary

BCG Attorney Search is seeking a Finance Associate to join a growing debt finance practice in Houston, TX. The role requires 3–5 years of corporate finance experience and an active Texas law license.

The ideal candidate will draft and negotiate complex financings, manage deal execution, and coordinate credit facilities while collaborating with clients, lenders, and opposing counsel in a fast-paced environment.

Qualifications

  • 3–5 years of corporate finance experience.
  • JD and license to practice law in Texas.
  • Outstanding academic credentials.
  • Excellent drafting and negotiation skills.
  • Ability to manage deals independently.

Responsibilities

  • Draft and negotiate senior secured, unitranche, second lien, and mezzanine financings.
  • Handle acquisition financings and leveraged buyouts.
  • Manage syndicated, club, and bilateral credit facilities.
  • Work on private credit and direct lending transactions.
  • Coordinate revolving, delayed draw, and term loan facilities.
  • Oversee asset-based facilities secured at the SPV or borrowing-base level.
  • Engage in subscription, NAV, and other fund finance transactions.
  • Prepare intercreditor and subordination arrangements, collateral and guaranty documentation, and opinion letters.
  • Manage transaction workstreams and coordinate transactions from structuring through closing.
  • Collaborate directly with clients, opposing counsel, lenders, and financing sources.

The role involves representing private equity funds, independent sponsors, family offices, portfolio companies, corporate borrowers, lenders, and private credit providers in sophisticated middle-market financing transactions.

Duties
