Job summary

HF Sinclair in Dallas, Texas seeks an experienced Commercial Counsel to assist General Counsel in the legal department. You will independently draft, review, and negotiate a broad range of commercial, transactional, and operational contracts, and provide pragmatic, risk-based legal advice aligned with business objectives.

You will lead contract templates, negotiation playbooks, and training, interfacing with outside counsel and supporting due diligence for acquisitions and dispositions as needed.

Qualifications

• Licensed attorney with at least 3 years of experience.
• J.D. from ABA-accredited law school required.
• Strong drafting, negotiation, and analytical skills.
• Ability to supervise paralegals and coordinate with outside counsel.

Responsibilities

• Work with business and operations teams on a high volume of commercial agreements.
• Independently review, draft, negotiate and interpret commercial agreements.
• Own and deliver legal advice, manage negotiations and transactions.
• Develop and maintain contract templates and negotiation playbooks.
• Provide training to business teams on legal processes and tools.
• Interface with outside counsel on various matters.
• Support due diligence and other acquisitions/dispositions as needed.
• Keep informed on developments in law and energy industry issues.
