Job summary

Direct Counsel is seeking a Cross-Border M&A Associate Attorney with at least 3 years of experience to join the Corporate, M&A and Securities practice. The role involves advising clients on complex domestic and international transactions with emphasis on the United States, Latin America, and other global markets.

The ideal candidate will represent public and private companies, private equity sponsors, and other market participants in sophisticated transactions.

Qualifications

• J.D. from an accredited law school.
• Admission to the bar in the jurisdiction of the applicable office.
• 3 years of meaningful experience in M&A, private equity, joint ventures, or corporate transactions.
• Experience with cross-border transactions, especially US-Latin America.
• Fluency in Spanish is required.
• Residency in the applicable jurisdiction at or before hire.

Responsibilities

• Advise clients on domestic and international mergers and acquisitions and related transactions.
• Draft, review, and negotiate purchase agreements and governance documents.
• Assist with transaction structuring and execution across the US and Latin America.
• Coordinate due diligence on corporate, governance, and transaction matters.

Position Overview

Direct Counsel is seeking a Cross-Border M&A Associate Attorney with at least 3 years of experience to join the Corporate, M&A and Securities practice of a leading national law firm. This is an excellent opportunity to work with a sophisticated team advising clients on complex domestic and international transactions, with a particular emphasis on matters involving the United States, Latin America, and other global markets.

The ideal candidate will have meaningful experience representing public and private companies, private equity sponsors, family offices, strategic investors, entrepreneurs, and other market participants in sophisticated corporate transactions. Experience with mergers and acquisitions, joint ventures, minority investments, strategic partnerships, corporate governance, and other complex business transactions is highly valued.

Key Responsibilities

• Advise clients on domestic and international mergers and acquisitions, joint ventures, minority investments, and other strategic transactions.

• Draft, review, and negotiate purchase agreements, investment agreements, joint venture agreements, governance documents, ancillary transaction documents, and related corporate materials.

• Assist with transaction structuring and execution for clients operating across the United States, Latin America, and other international markets.

• Conduct and coordinate legal due diligence involving corporate, commercial, governance, and transaction-related matters.

• Collaborate with cross-practice and cross-border teams, including attorneys in tax, finance, regulatory, employment, and other areas.

• Advise clients on corporate governance, entity formation, ownership, control, and post-closing integration matters.

• Communicate effectively with clients, counterparties, local counsel, and internal deal teams.

• Manage multiple workstreams and contribute to fast-paced transactions involving sophisticated counterparties and multiple jurisdictions.

Qualifications

• Admission to the bar in the jurisdiction of the applicable office.

• 3 years of meaningful experience in M&A, private equity, joint ventures, minority investments, corporate governance, or other complex corporate transactions.

• Experience with cross-border transactions, particularly those involving the United States and Latin America, is preferred but not required.

• Fluency in Spanish is required.

• Strong drafting, negotiation, analytical, and project management skills.

• Ability to manage multiple matters and meet deadlines in a fast-paced transactional environment.

• Excellent judgment, attention to detail, and written and verbal communication skills.

• Candidates must reside in the applicable jurisdiction at or prior to the time of hire.

• Willingness to work in the office at least three business days per week.

Compensation

The anticipated salary range for the New York office is $260,000--$365,000 annually. Actual compensation will depend on qualifications and experience. Compensation for the Miami location may differ.

Work Arrangement

This position follows a hybrid work arrangement, with an expectation of working in the office at least three business days per week.
