Our client, an AmLaw 50 firm, is seeking a Corporate M&A Attorney to join its Corporate Practice Group in Miami. This position is ideal for a motivated attorney with at least five years of corporate M&A experience who is looking to build a long-term career within a collaborative and supportive team at one of the nation’s premier law firms.
Responsibilities:
- Represent public and private companies, private equity sponsors, investors, and other clients in sophisticated domestic and cross-border mergers and acquisitions, dispositions, joint ventures, and other strategic transactions.
- Draft, review, and negotiate transaction documents, including purchase and sale agreements, merger agreements, joint venture agreements, operating and shareholder agreements, confidentiality agreements, and ancillary closing documents.
- Manage M&A transactions from initial structuring and due diligence through signing and closing, including coordinating transaction timelines and overseeing closing processes.
- Lead and manage legal due diligence efforts, identify and analyze key legal and business risks, and communicate findings and recommendations to clients and deal teams.
- Advise clients on general corporate matters, including entity formation and structuring, corporate governance, fiduciary matters, organizational documents, and ongoing business operations.
- Supervise and mentor junior associates and other members of transaction teams.
Qualifications:
- At least 5 years of corporate transactional experience within a large law firm environment.
- Significant experience handling sophisticated mergers and acquisitions, joint ventures, and general corporate and governance matters.
- Demonstrated experience drafting, reviewing, and negotiating complex transaction documents.
- Experience managing significant components of transactions and coordinating matters through due diligence, signing, and closing.
- Excellent drafting, negotiation, analytical, and communication skills.
- Ability to manage multiple matters and competing priorities in a fast-paced transactional environment.
- Strong interpersonal skills and a demonstrated ability to work effectively in a team-centric, collaborative environment.
- Desire and ability to take on significant responsibility and direct client interaction.
- J.D. from an accredited law school.
- Admission to the Florida Bar and membership in good standing

- Compensation is reviewed annually, with consideration given to individual performance, professional growth, effectiveness, and overall contributions to the firm and its clients.
- Salary: $300,000 - $450,000 per year annually. Actual compensation will depend on experience, qualifications, performance, and business needs.
