As Counsel, Complex Transactions you will partner across all levels of clinical, medical affairs, marketing, finance, business development, business operations, and sales teams on negotiating, drafting, and reviewing a broad range of agreements. This position is part of the Cepheid Legal Department and will be remote.

In this role, you will have the opportunity to :

  • Partner with data transformation, product and commercial teams on complex legal matters relating to software and hardware development and collaborate with business and subject-matter experts for recommendations on compliant paths forward.
  • Draft and negotiate a wide range of complex legal contracts (including data sharing agreements, collaboration and AI agreements, and customer and vendor agreements) to drive new initiatives with research partners and enterprise customers.
  • Partner with and provide salient legal advice to technology, product and commercial teams to develop and launch innovative data and digital products and solutions.
  • Develop and improve contractual templates, policies and procedures related to advanced technology and digital products.
  • Stay current on applicable laws, rules, regulations, regulatory guidance, and industry codes, especially concerning AI, security, healthcare, medical devices and share the knowledge across Cepheid Legal and Compliance.

The essential requirements of the job include :

  • JD degree from an accredited U.S. law school and active bar membership in good standing.
  • A minimum of 3+ years of relevant experience in a law firm or in-house legal department.
  • Bachelor's degree with 6+ years of related work experience OR Master's degree in field with 3+ years of related work experience.

It would be a plus if you also possess previous experience in :

  • Transactions or litigation experience in the medical diagnostics or healthcare industry
  • Drafting, reviewing, and negotiating various types of agreements, ranging from data sharing to collaboration, AI, and customer and vendor agreements

Experience in advanced technology or software product development, including but not limited to digital products and AI / ML technologies

The salary range OR the hourly range for this role is $ 114,700-$170,000. This is the range that we in good faith believe is the range of possible compensation for this role at the time of this posting. This range may be modified in the future.

This job is also eligible for bonus / incentive pay.
