Job summary

Copia Power in Salt Lake City is seeking a Senior Counsel to lead procurement and project finance contracts for renewable energy and digital infrastructure. You will draft, negotiate, and manage EPCs, PPAs, and related agreements while ensuring regulatory compliance and risk mitigation.

You will collaborate with construction, procurement, and executive teams to advance projects, address legal risks, and shape contract templates and processes for a fast-growing portfolio.

Qualifications

  • JD from an accredited law school with a current license to practice in a U.S. state.
  • 5+ years professional experience in the energy industry.
  • Excellent written and verbal communication skills.
  • Ability to work concurrently on a variety of projects under pressure.
  • Ability to work in the Salt Lake City, UT office a minimum of 3 days per week.
  • Ability to travel up to 25%.

  • Review due diligence requests, vendor qualifications, responses to RFPs and other matters.
  • Interface with executive leadership for contract approvals and risk terms.
  • Improve templates and processes for legal operations.

Key Responsibilities:
  • Partner with construction and procurement teams and oversee outside counsel in drafting, reviewing and negotiating equipment supply, EPC contracts, and logistics agreements for equipment storage and transportation
  • Provide legal advice to construction and procurement teams to ensure regulatory compliance and implement risk mitigation strategies
  • Support the Deputy General Counsel in negotiating, drafting and closing other project level transactions, including Power Purchase Agreements, Load Service Agreements, and project financings
  • Manage post-execution compliance, including achievement of contractual milestones, internal and external coordination to resolve change orders and disputes, and other related project document compliance
  • Support other legal matters and questions presented to the legal team, such as reviewing and analyzing due diligence requests, vendor qualifications, responses to requests for proposals, and other matters
  • Interface with the executive leadership team and investment committee for contract approvals based on communication of key contract terms and risks/mitigants
  • Support legal operations by improving templates and processes for efficiency and compliance
What We Look For:
  • Experience negotiating and managing procurement and EPC agreements for renewable energy projects, natural gas plants and/or digital infrastructure and assets
  • Problem-solver with a pragmatic approach to satisfactorily address legal issues in relation to commercial objectives
  • Ability to focus, direct and manage the efforts of external legal counsel and other resources
  • Interest in being a part of a small legal team with frequent touch points with Deputy General Counsel and General Counsel and working with internal and external stakeholders on a range of legal matters
Minimum Qualifications:
  • JD from an accredited law school with a current license to practice law in a U.S. state required
  • 5+ years professional experience in the energy industry
  • Excellent written and verbal communication skills with an emphasis on succinctness and clarity
  • Ability to work concurrently on a variety of projects and work effectively under pressure
