Job summary

Invenergy in Chicago, IL seeks an Assistant General Counsel, Commercial Transactions to support energy project development and related commercial agreements. You will provide professional legal advice to support development, construction, finance and management of renewable projects.

The role requires 5-7+ years in energy transactions, drafting and negotiating sophisticated documentation, guiding transaction structuring, and coordinating with internal teams; overtime and travel may be required.

Qualifications

• JD degree and admission to practice law in at least one U.S. state.
• 5-7+ years of experience in energy project development, finance and M&A transactions.
• Experience drafting, negotiating and advising on sophisticated energy project development, finance and M&A documentation.
• Proven ability as a legal lead to drive transactions to successful completion.
• Experience researching and analyzing applicable laws and regulations; due diligence; and closing transactions.
• Able to work cross-functionally with internal and external stakeholders with minimal supervision.
• Excellent communication skills and ability to relay complex concepts to management.

Responsibilities

• Provide legal support to project development, commercial execution and finance teams on a wide variety of transactions.
• Draft, negotiate and advise on energy-related project documents (PPAs, EPCs, debt financing, equity structures, etc.).
• Structure transactions and guide deal team through closings.
• Select and manage outside counsel efficiently.
• Ensure consistency with internal policies across transactions.
• Provide legal advice in other areas as needed; occasional overtime and travel.
