Job summary

FalconX is seeking an experienced Counsel, Structured Finance to advise on digital asset lending, margin facilities, and other credit activities. You will structure, negotiate, and document credit arrangements, while staying compliant with US and international frameworks, and collaborating with Product, Markets, Risk, and Compliance teams.

Qualifications

• J.D. from an accredited law school and active bar membership in good standing in at least one U.S. state.
• 4–7 years of relevant legal experience advising on credit, lending, or structured finance for financial institutions, fintechs, or digital asset firms.
• Deep understanding of secured lending, margin, and collateral management practices.

Responsibilities

• Advise on structuring, negotiation, and documentation of digital asset loans, margin facilities, borrowing structures, and other credit arrangements.
• Draft, review, and negotiate master loan agreements, collateral agreements, security documents, and related transactional documentation.
• Partner with Product and Business Development teams to design and launch new credit products and structures.
• Analyze and advise on U.S. and international legal and regulatory frameworks applicable to digital asset lending, including securities, commodities, banking, and consumer protection laws.
• Monitor regulatory developments impacting digital asset credit markets and communicate implications to internal stakeholders.
• Collaborate with Compliance to develop and maintain policies, procedures, and controls for credit operations.
• Identify, assess, and mitigate legal risks related to credit extension, collateral management, counterparty default, and insolvency scenarios.
• Support the development and implementation of robust risk management frameworks for credit exposures.
• Manage and resolve disputes, litigation, or enforcement actions arising from credit transactions or counterparties.
• Oversee workout, restructuring, and recovery efforts in distressed situations.
• Work closely with Markets, Operations, Risk, and Technology teams to ensure seamless execution and settlement of credit transactions.
• Educate business partners on legal and regulatory issues affecting the credit business.
