Job summary

AMS Staffing Inc. is seeking a mid- to senior-level Associate Attorney for its Corporate Trust/Securities practice in New York, NY. The role focuses on drafting and negotiating complex transactional documents for financial institutions, with direct client contact and close collaboration with partners.

Ideal candidates have a J.D. and New York admission in good standing, plus at least three years of related experience in corporate trust, securities or structured finance.

Qualifications

• J.D. from an accredited law school and NY Bar admission.
• At least three years of corporate trust/securities, structured finance, banking or related transactional experience.
• Strong drafting, document review and negotiation skills.
• Ability to analyze complex financing documents and identify issues for institutional clients.
• Strong organization, judgment and written and verbal communication skills.

Responsibilities

• Draft, review and negotiate indentures, credit agreements, trust agreements, collateral and related transaction documents.
• Review offering materials and documents addressing rights and obligations of trustees and agents.
• Prepare amendments, supplements and ancillary agreements and negotiate terms.
• Coordinate transaction requirements and assist partners with closings.
• Communicate with institutional clients, opposing counsel and other transaction participants.
• Manage multiple matters with accuracy, timeliness and deadline awareness.
