Job summary

Orion Placement seeks a paralegal to support corporate, transactional, business, and real estate matters in Bethesda, MD. You will form entities, draft governance documents, coordinate due diligence, and assist with closings.

Qualifications

  • 2+ years of relevant law firm experience.
  • Experience with corporate transactions, entity management, or commercial real estate matters.

  • Proficiency with Microsoft Word, Outlook, and Excel.
  • Paralegal certificate preferred but not required.

Responsibilities

  • Form corporations, LLCs, partnerships, and other business entities and prepare related state filings.
  • Prepare and maintain operating agreements, bylaws, resolutions, meeting minutes, corporate records, and governance documents.
  • Support corporate transactions, commercial agreements, financings, restructurings, commercial leasing, and real estate acquisitions and sales.
  • Coordinate due diligence, transaction checklists, deadlines, title and survey materials, signature packets, and closing deliverables.
  • Prepare, proofread, compare, organize, and revise transactional documents using Microsoft Word and Track Changes.
  • Maintain entity records, minute books, compliance calendars, electronic files, and transaction documentation.
  • Communicate with attorneys, clients, government agencies, lenders, title companies, surveyors, and other transaction participants.
  • Help keep multiple transactions organized and moving efficiently from inception through closing.
  • Use modern legal technology and productivity tools to improve workflow, organization, and client service.

Pay: $80,000.00 - $115,000.00 per year

Location

  • Experience with commercial leasing, real estate closings, or Maryland, Virginia, and Washington, D.C. filings is a plus
