Job summary

Adams- in Los Angeles is seeking a Corporate Paralegal with corporate transactional experience to join its growing team and support filings, governance, and M&A work.

The role involves handling entity formations, board and shareholder resolutions, due diligence, closings, stock issuances, UCC filings, and regulatory filings, with opportunities to contribute immediately. Bachelor’s degree and 2+ years of experience required.

Qualifications

• Bachelor's degree required.
• 2+ years of corporate transactional paralegal experience.
• Experience with entity formations and corporate governance.
• Knowledge of Delaware and California corporate law requirements.
• Experience supporting M&A, financing transactions, or securities matters is a plus.
• Strong legal research, organizational, and communication skills.

Responsibilities

• Handle entity formations, foreign qualifications, mergers, acquisitions, conversions, and dissolutions
• Prepare corporate governance documents, including board and shareholder resolutions and minutes
• Maintain corporate records and assist with annual filings
• Support transactional matters, including due diligence, closings, closing binders, and post-closing deliverables
• Manage stock issuances, transfers, options, and capitalization records
• Prepare UCC filings, lien searches, and various regulatory filings
• Conduct legal and corporate research
