  • Lead and expand a corporate and transactional practice in the Washington, DC market.
  • Advise clients on mergers and acquisitions, private equity transactions, ventures, joints ventures, governance and strategic deals.
  • Structure, negotiate, and draft complex transactional agreements and related documentation.
  • Develop cross-selling opportunities and strengthen client relationships.
  • Mentor associates and contribute to growth of the corporate practice.
  • Participate in strategic business development and marketing initiatives.

Responsibilities
  • Lead and expand a corporate and transactional practice in the Washington, DC market.
  • Serve as trusted outside counsel to clients on a broad range of business and corporate matters.
  • Advise clients regarding mergers and acquisitions, private equity transactions, venture capital investments, joint ventures, corporate governance matters, and strategic business transactions.
  • Structure, negotiate, and draft complex transactional agreements and related documentation.
  • Collaborate with attorneys throughout the firm’s national platform to identify and develop cross‑selling opportunities.
  • Develop new business and strengthen existing client relationships.
  • Mentor associates and contribute to the growth and development of the corporate practice.
  • Participate in strategic business development and marketing initiatives within the firm.
Qualifications
  • J.D. from an accredited law school and active bar membership.
  • Significant corporate and transactional experience, ideally developed at a national, regional, or well‑regulated boutique law firm.
  • Demonstrated ability to independently manage sophisticated transactions and client relationships.
  • Portable book of business, generally $600,000+ in annual originations, although candidates with larger practices are strongly encouraged to apply.
  • Strong business development capabilities and an entrepreneurial approach to practice growth.
  • Excellent drafting, negotiation, and client‑management skills.
  • Interest in leveraging a national platform to expand existing client relationships and develop new opportunities.
