NJ Bio, Inc. is seeking a Corporate Paralegal & Contract Administrator to manage day-to-day contracts and legal operations in a fast-paced life sciences environment.

Key duties include drafting and coordinating NDAs, MSAs, SOWs, and amendments, maintaining records, and ensuring timely execution with internal teams and outside counsel.

Responsibilities

  • Draft, review, revise, and coordinate a wide range of contracts using approved templates.
  • Coordinate comments and approvals among business owners, Finance, Quality, scientific teams, executive leadership, clients, vendors, and outside counsel.
  • Prepare comparison drafts, maintain version control, track open issues, and drive agreements toward timely signature.
  • Review commercial and legal terms for consistency with approved NJ Bio positions and escape material deviations appropriately.
  • Maintain a complete, searchable contract repository with executed agreements, amendments, exhibits, supporting correspondence, and approval records.
  • Maintain a contract tracker covering status, responsible owner, effective date, expiration date, renewal notice, milestones, obligations, and required follow-up.
  • Coordinate electronic signatures and verify that final signed versions are complete and properly filed.
  • Maintain and improve templates, clause libraries, approval workflows, naming conventions, and contract intake procedures.
  • Prepare periodic reports on contract pipeline, aging agreements, renewals, and outstanding actions.

Description

NJ Bio is seeking a practical, highly organized Corporate Paralegal & Contract Administrator to manage day-to-day contracts and legal operations. The successful candidate will be comfortable moving agreements from intake through execution, identifying non-standard terms, coordinating internal input, maintaining accurate records, and escalating material legal issues to executive leadership or outside counsel. This position requires sound judgment, responsiveness, discretion, and the ability to work effectively in a fast-paced life sciences organization. The incumbent works cross-functionally with internal departments and external resources on legal and contracts related issues. The Corporate Paralegal & Contract Administrator supports adherence to relevant regulatory requirements and company Standard Operating Procedures (SOPs) as appropriate.

Contract Drafting, Review & Coordination
  • Draft, review, revise, and coordinate CDAs/NDAs, MSAs, SOWs, amendments, change orders, consulting agreements, vendor and supplier agreements, material transfer agreements, collaboration agreements, and other commercial contracts using approved templates and playbooks.
  • Coordinate comments and approvals among business owners, Finance, Quality, scientific teams, executive leadership, clients, vendors, and outside counsel.
  • Prepare comparison drafts, maintain version control, track open issues, and drive agreements toward timely signature.
  • Review commercial and legal terms for consistency with approved NJ Bio positions and escape material deviations appropriately.
Contract Risk Review
  • Identify and summarize non-standard provisions involving confidentiality, intellectual property, data rights, payment terms, warranties, indemnification, limitation of liability, insurance, term and termination, governing law, dispute resolution, audit rights, and regulatory or quality obligations.
  • Prepare concise issue lists and practical recommendations for management review.
  • Ensure business teams understand key obligations before execution and monitor follow-up items after signing.
Contract Administration & Legal Operations
  • Maintain a complete, searchable contract repository with executed agreements, amendments, exhibits, supporting correspondence, and approval records.
  • Maintain a contract tracker covering status, responsible owner, effective date, expiration date, renewal notice, milestones, obligations, and required follow-up.
  • Coordinate electronic signatures and verify that final signed versions are complete and properly filed.
  • Maintain and improve templates, clause libraries, approval workflows, naming conventions, and contract intake procedures.

Corporate & Compliance Support
  • Assist with corporate records, board and shareholder materials, entity documents, resolutions, certifications, licenses, insurance records, and legal correspondence.
  • Coordinate document collection and organization for client diligence, audits, financing activities, strategic transactions, and other information requests.
  • Preserve confidentiality and handle sensitive legal and business information with discretion.
  • Support implementation of legal holds, document retention practices, and compliance-related recordkeeping as directed.

Perform other tasks and assignments as needed and specified by management.

Qualifications

Education and Experience Requirements
  • Bachelor’s degree, paralegal certificate, or equivalent combination of education and relevant experience.
  • At least 5 years of experience in corporate paralegal work, contract administration, legal operations, or commercial contracting.
  • Hands-on experience with CDAs/NDAs, MSAs, SOWs, service agreements, vendor agreements, and contract amendments.
Preferred
  • Experience in biotechnology, pharmaceuticals, CRO/CDMO services, life sciences, or another regulated industry.
  • Familiarity with GMP services, manufacturing or quality agreements, research collaborations, material transfers, privacy/data provisions, and intellectual property concepts.
  • Experience supporting due diligence, corporate transactions, financing, audits, or outside counsel.
  • Experience implementing contract lifecycle management processes, dashboards, or standardized legal intake workflows.
