LHH Recruitment Solutions, partnering with a prominent national law firm, seeks an experienced Corporate Paralegal to join its Business and Transactions team in Seattle. The role supports sophisticated corporate matters alongside attorneys across offices.

The ideal candidate has 4+ years in corporate or transactional paralegal work, with M&A, VC financing, and governance exposure. Hybrid schedule (3 days in-office/2 remote) and direct hire employment.

Qualifications

  • 4+ years paralegal experience in corporate/transactional matters.
  • Experience supporting mergers and acquisitions and/or venture capital transactions preferred.
  • Bachelor's degree and paralegal certificate preferred.
  • Strong drafting, proofreading, research, and organizational skills.
  • Ability to manage multiple deadlines and assignments with minimal supervision.

Responsibilities

  • Support attorneys with mergers and acquisitions, emerging companies, venture capital financings, and other corporate transactions.
  • Serve as a primary liaison among attorneys, clients, and other involved parties.
  • Draft, proofread, organize, and assemble transactional and closing documents.
  • Prepare corporate governance materials, financing documents, corporate approvals, and related agreements.
  • Coordinate and track due diligence, including maintaining checklists, reviewing documents, and assisting with disclosure schedules.
  • Develop and maintain closing checklists and monitor outstanding items through completion.
  • Coordinate transaction closings and handle post-closing follow-up, filings, and documentation.
  • Prepare and submit applications and other materials to state and federal regulatory agencies.
  • Respond to client requests and coordinate the collection and distribution of transaction-related materials.
  • Maintain accurate timekeeping, billing, and productivity records.
  • Collaborate with attorneys, paralegals, and administrative professionals across multiple offices.

Job Description:

LHH Recruitment Solutions is partnering with a prominent national law firm seeking an experienced Corporate Paralegal to join its Business and Transactions team in Seattle. This is an excellent opportunity to support sophisticated corporate matters while working alongside attorneys and legal professionals across multiple offices.

The ideal candidate will have a strong background in corporate law and business transactions, particularly mergers and acquisitions, venture capital financings, and general corporate governance. This position requires someone who can independently manage assignments, anticipate next steps, and exercise sound judgment while balancing multiple priorities.

  • Four-year degree and paralegal certificate preferred
  • Strong drafting, proofreading, research, and organizational skills
  • Ability to manage multiple deadlines and assignments with minimal supervision
  • Proactive approach with the judgment to identify issues, recommend solutions, and elevate concerns appropriately
  • Excellent written, verbal, and interpersonal communication skills
  • Ability to work effectively with professionals across multiple offices and practice groups
  • Intermediate proficiency with Microsoft Office, document management platforms, and timekeeping software
  • Availability to work overtime when business needs require
