This Corporate Paralegal will play a key role in supporting high-profile corporate transactions, including IPOs, M&A deals, and securities matters. Working closely with attorneys across a nationally recognized corporate practice, the position offers hands-on involvement in complex deal execution, due diligence, SEC filings, and corporate governance matters.

Description
  • Prepare and manage corporate documents, including board meeting materials and resolutions.
  • Assist with compliance and regulatory filings to ensure adherence to applicable laws.
  • Conduct research and gather information to support legal projects.
  • Maintain and organize corporate records and contracts.
  • Support due diligence efforts and assist with transactional matters.
  • Coordinate with external counsel and other departments as needed.
  • Handle administrative tasks related to the legal department.
  • Monitor deadlines and ensure timely submissions of legal filings.
Profile

A successful Corporate Paralegal should have:

  • A Bachelor's Degree.
  • 2+ years of Corporate Paralegal experience.
  • Strong research skills; utilizing legal research software Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, Carta, etc.
  • Experience with corporate governance and legal documentation.
  • Understanding of corporate and securities law, including SEC regulations.
  • Excellent communication skills and a team-oriented mindset.
  • Ability to conduct thorough legal and factual research.
  • Ability to work accurately and meticulously, ensuring the accuracy of documents and filings.
Job Offer
  • Competitive salary between $80,000 and $90,000.
