Job summary

LHH US in Chicago, IL is seeking an experienced Corporate Paralegal to support a growing Corporate/M&A practice. This hybrid role offers exposure to sophisticated transactions for a diverse client base and a collaborative team environment.

The position requires 5+ years' Corporate Paralegal experience with strong M&A background, governance knowledge, and excellent organizational and communication skills. Competitive base salary with bonus opportunity and hybrid schedule.

Qualifications

• 5+ years of Corporate Paralegal experience.
• Experience supporting M&A and corporate transactions.
• Experience with entity formations, governance, and corporate filings.
• Excellent organizational, communication, and project management skills.
• Ability to manage multiple priorities in a fast-paced environment.
• Billable requirement is 1,300 annually.

Responsibilities

• Support mergers & acquisitions and other corporate transactions.
• Manage due diligence processes, virtual data rooms, and transaction closings.
• Draft corporate resolutions, entity formation documents, and governance materials.
• Prepare and file Form D, Blue Sky, UCC, and related corporate filings.
• Maintain corporate records and entity management databases.
• Prepare electronic closing binders and post-closing documentation.
• Communicate directly with clients, attorneys, and third parties.
• Assist with ongoing corporate governance and compliance matters.

LHH is partnering with a highly respected law firm in Chicago to identify an experienced Corporate Paralegal to support a growing Corporate/M&A practice. This is an excellent opportunity to join a collaborative team and work on sophisticated transactions for a diverse client base ranging from entrepreneurial businesses to large national companies.

What You’ll Do

• Support mergers & acquisitions and other corporate transactions
