This opportunity is ideal for an associate with strong transactional experience who is looking to work with high-profile clients and complex deals across various industries. The position is available in multiple major U.S. markets and offers access to sophisticated legal matters in a dynamic, collaborative environment. Duties:
Advise clients on all aspects of mergers, acquisitions, divestitures, and private equity transactions
Draft and negotiate complex transactional documents, including purchase agreements, operating agreements, and shareholder agreements
Conduct and coordinate legal due diligence
Manage deal timelines, regulatory compliance, and closing logistics
Collaborate with cross-functional legal teams on multi-jurisdictional transactions
Interface directly with clients, investors, and counterparties throughout all phases of transactions
Requirements:
Minimum of 2 years of relevant experience in M&A and/or private equity transactions
Experience working at a large or mid-sized law firm preferred
Demonstrated ability to manage sophisticated transactions and client relationships
Education:
Juris Doctor (JD) from an ABA-accredited law school
Strong academic performance required
Certifications:
Admission to the bar in the jurisdiction of the chosen office location (or ability to obtain admission promptly)
Skills:
Strong drafting, negotiation, and analytical skills
Excellent written and verbal communication abilities
High attention to detail and organizational efficiency
Ability to manage multiple priorities in a fast-paced environment
