Qualifications

  • 3+ years of experience in a legal environment.
  • Bachelor’s degree or Paralegal Certificate preferred.
  • Experience supporting transactional and finance matters.
  • Strong grammar, proofreading and transcription skills.
  • Discretion with confidential information and strong judgment.

Responsibilities

  • Handles formation documents, bylaws, and governance materials.
  • Coordinates filings with governmental agencies.
  • Prepares contracts, stock/asset purchase agreements, and closing documents.
  • Maintains corporate records and closing binders.
  • Performs due diligence searches and reviews contracts.
  • Supports securities practice and governance matters.
  • Coordinates closings and closing checklists.
  • Oversees practice area form files.
  • Interacts with attorneys, clients, and outside parties.
  • Other duties as assigned.
