Job description

We are seeking a mid-level associate (2nd–5th year) to join the Corporate Practice Group in our Portland office.

The ideal candidate will have substantial experience advising clients on a wide range of corporate matters, including mergers and acquisitions, transaction execution, corporate governance, securities compliance, entity formation and maintenance, and corporate finance. Our team represents a roster of sophisticated, high-quality clients, offering associates the opportunity to work on complex, high-impact transactions across a variety of industries.

Responsibilities

• Advise clients on corporate matters such as mergers & acquisitions, transaction execution, corporate governance, securities compliance, entity formation & maintenance, and corporate finance.
• Represent a portfolio of sophisticated, high‑quality clients on complex, high‑impact transactions across multiple industries.
• Manage multiple transactions and deadlines in a fast‑paced environment while delivering strong drafting, negotiation, and analytical support.
• Collaborate with colleagues and contribute to a supportive, energizing environment that promotes success for clients and team members.

Qualifications

• J.D. from a top‑tier law school with excellent academic credentials.
• Active bar admission (Oregon preferred or eligibility to waive in).
• Strong drafting, negotiation, and analytical skills.

Compensation & Benefits

• Base salary range: $185,000 - $255,000 per year.
• Bonus potential of up to $106,000, depending on years of practice, experience, and performance.
