ImpactSearch Partners in Atlanta seeks a Corporate & Transactional Associate Attorney with 2–3 years of corporate and transactional experience to contribute across buy‑side and sell‑side M&A, corporate governance, and cross‑border matters.

You will draft and negotiate complex agreements, support due diligence through closing, and handle entity formation and routine corporate work. The firm provides mentorship, development programs, and a supportive, growth‑oriented culture.

Qualifications

• Two to three years of corporate and transactional experience.
• Experience drafting complex transactional agreements.
• Excellent writing and analytical abilities.
• Sound judgment, strong organizational skills, and attention to detail.
• Georgia Bar admission required.
• German language capability is not required but would be helpful.

Responsabilités

• Draft and negotiate complex transactional agreements, including purchase agreements, credit agreements, and related deal documents.
• Support buy-side and sell-side M&A transactions from due diligence through closing.
• Assist with general corporate work, including entity formation, contract review, and business counseling.
• Contribute to cross-border matters as the practice’s international deal volume grows.
• Work directly with senior attorneys and clients, with meaningful early responsibility.
