Our client, a global Am Law 100 law firm, is seeking a Corporate Litigation Associate with 3–5 years of complex commercial litigation experience to join its Dallas office. This position sits within the firm's M&A and corporate litigation practice and focuses on high-stakes disputes arising from mergers, acquisitions, and complex commercial transactions.
The ideal candidate will have experience handling sophisticated commercial litigation matters and be comfortable analyzing and interpreting complex corporate contracts and transactional documents. Prior M&A litigation experience is a plus, but candidates with broader complex commercial litigation backgrounds and strong contractual fluency will also be considered.
Responsibilities:
- Represent clients in high-stakes corporate and complex commercial litigation matters.
- Handle disputes arising from mergers, acquisitions, and complex commercial transactions.
- Draft near-ready-to-file pleadings, motions, discovery responses, and other litigation documents.
- Conduct legal research and develop case strategies based on complex factual and contractual issues.
- Analyze and interpret merger agreements, purchase agreements, and other sophisticated commercial contracts.
- Manage case files, deadlines, tasks, and day-to-day litigation responsibilities.
- Assist with depositions and trial preparation.
- Participate in courtroom and stand-up litigation opportunities.
- Work collaboratively with attorneys and clients to develop practical, solutions-oriented strategies.
- Take ownership of assigned matters and responsibilities while exercising sound judgment.
- Manage multiple priorities in a fast-paced, sophisticated litigation environment.
Qualifications:
- 3–5 years of complex commercial litigation experience.
- Experience at a nationally or regionally recognized law firm.
- Active admission to the Texas State Bar and in good standing.
- Strong legal research, writing, analytical, and communication skills.
- Experience drafting pleadings, motions, discovery responses, and other litigation documents.
- Ability to manage case files, deadlines, and litigation tasks independently.
- Strong ability to read, analyze, and interpret complex corporate and commercial contracts.
- Familiarity with merger agreements, purchase agreements, and similar transactional documents is highly valued.
- Prior M&A litigation experience is a plus, but not required.
- Deposition and trial preparation experience preferred.
- Strong judgment, attention to detail, and ability to take ownership of matters.
- Ability to thrive in a fast-paced, collaborative BigLaw environment.
- Candidates must be admitted to the Texas State Bar and in good standing.

- Competitive BigLaw compensation of $270,000–$385,000, depending on relevant experience and other factors.
