- Manage corporate governance, entity administration, state filings, annual reports, and minute books.
- Administer cap tables, equity plans, and equity grants, including grants, exercises, transfers, cancellations, and reconciliations.
- Draft and manage routine corporate and legal documents, escalating matters when appropriate.
- Design AI-enabled legal intake and triage workflows.
- Build templates, playbooks, self-service tools, and automations for recurring legal processes.
- Identify repetitive work and develop systems to improve efficiency and scalability.

- Strong knowledge of transaction documents, approvals, and closing processes.
- Experience with corporate governance, entity management, state filings, cap tables, and equity administration.
- Excellent organization, drafting, proofreading, and project management skills.
- Strong attention to detail and ability to independently manage matters through completion.
- Interest in AI, legal technology, workflow design, and automation.
- Sound judgment and ability to identify matters requiring escalation or outside counsel.
- Comfortable working autonomously in a fast-paced, highly asynchronous environment.
- Collaborative and willing to work across legal and operational functions.
Preferred Qualifications
- JD and active U.S. bar membership with 3+ years of corporate experience at a leading U.S. law firm; or
- 8+ years of corporate paralegal experience supporting venture transactions across law firm and in-house environments.
- Experience with venture-backed or high-growth technology companies.
- Experience building workflows using AI tools, automation platforms, Slack integrations, or contract management systems.
- Track record of improving legal processes through technology and automation.
