Job summary

Solid Rock Recruiting LLC seeks a Corporate Associate for a well-established regional law firm in New Hampshire. The attorney will advise on a broad range of corporate and transactional matters and work closely with clients ranging from startups to established companies, cultivating a long-term practice in a collaborative, entrepreneurial environment.

The successful candidate will have a J.D. from an accredited law school, NH admission in good standing (MA admission a plus), and at least three

Qualifications

• J.D. from an accredited law school.
• Active admission and good standing in New Hampshire.
• Massachusetts admission is a plus.
• At least 3 years of relevant corporate/transactional experience.
• Experience within a sophisticated corporate practice.
• Strong understanding of corporate transactions, entity formation, venture capital financing, private offerings, and applicable state and federal securities laws.
• Strong interpersonal and communication skills.
• Ability to effectively manage client relationships and work collaboratively with attorneys and professionals across the firm.

Responsibilities

• Provide general corporate counseling and transactional guidance to clients.
• Handle mergers and acquisitions, including asset and stock transactions.
• Lead due diligence and negotiate transaction terms.
• Manage debt and equity financings and venture capital/private offerings.
• Draft and negotiate commercial contracts and assist with entity formation and structuring.
• Advise startups throughout their lifecycle and counsel on securities compliance.

A well-established and highly regarded regional law firm is seeking a Corporate Associate to join its sophisticated and growing corporate practice. This is an excellent opportunity for an attorney who enjoys working directly with businesses and entrepreneurs and wants the opportunity to develop a long-term practice within a collaborative, entrepreneurial environment.

The attorney will work with clients across a broad range of corporate and transactional matters, including:

• General business and corporate counseling
• Mergers and acquisitions, including asset and stock transactions
• Due diligence and transaction negotiations
• Debt and equity financings
• Venture capital and convertible debt transactions
• Bank and other commercial financings
• Commercial contracts and general commercial law
• Entity formation and structuring
• Counseling emerging growth companies and startups throughout their business lifecycle
• State and federal securities law matters and private offerings

The successful candidate will have the opportunity to work alongside an experienced corporate team on sophisticated matters while also having the autonomy and support to build and grow their own practice.
