Bernstein Litowitz Berger & Grossmann LLP (BLB&G) is widely recognized worldwide as a leading law firm advising institutional investors on issues related to corporate governance, shareholder rights, and securities litigation. Our clients include the largest and most prominent public pension funds, banks, asset managers and insurance companies in the world.

The firm is widely recognized by industry observers as a leader in the field, and our reputation for integrity and unmatched record of achievement has won us praise from the bench, the respect of our adversaries, and the allegiance of our clients.

About the Team and the Role

BLB&G is looking for an entrepreneurial Associate to join the firm’s Corporate Governance litigation practice. In this role you will represent investors and work towards the goal of achieving governance reforms at public companies which will in turn increase market transparency, hold wrongdoers accountable and protect the shareholder franchise.

Our Corporate Governance team has a strong track record of precedent-setting outcomes over the last two decades and has successfully combated unfair deals, created billions of dollars in increased shareholder value, addressed self‑dealing and executive compensation issues in the boardroom and executive suite, and successfully challenged harassment and discrimination in the workplace, setting governance models for companies as they move forward.

Requirements
  • JD is required (2019‑2025 graduate, possibility to deviate slightly for an exceptional candidate); admitted to the Delaware Bar preferred, but open to candidates admitted elsewhere.
  • Must have meaningful experience in one or both: (i) prosecuting or defending complex stockholder or commercial litigation; (ii) Delaware corporate law/breach of fiduciary duty litigation.
  • Service as a Delaware Chancery Court or Delaware Supreme Court judicial clerk is preferred.
  • Chancery Court, merger, fiduciary duty, and/or appraisal litigation experience is preferred.
  • Basic financial literacy and understanding of corporate capital structure and transactions is required.
  • Must be prepared for a steep learning curve and hands‑on training.
  • Entrepreneurial mindset, a proactive approach, and the readiness to take opportunity and run with it is necessary.
  • Desire to represent investors rather than corporations.
  • Ability and desire to take a meaningful role in multiple complex cases, often opposite significantly more senior lawyers.
  • Excellent time management, multitasking and communication skills are essential.
  • This is a full‑time, exempt position based in New York, NY, Wilmington, DE, or Los Angeles CA.
  • This is a hybrid role (3 days in-office (Tuesdays and Wednesdays required); 2 days work‑from‑home).
  • BLB&G values diversity and inclusion and is an Equal Opportunity Employer.
  • All candidates must be legally authorized to work in the USA.
  • Base Salary Range: $195‑$320k.
