Job summary

HUB International is seeking a Corporate Governance Analyst to ensure SEC compliance, maintain board and committee materials, and manage corporate records with accuracy. The role partners with Legal and Finance to coordinate SEC filings, proxy statements, and annual shareholder meeting logistics.

The ideal candidate brings hands-on experience from a publicly traded company and thrives in a structured, detail-oriented environment where precision and discretion are essential.

Qualifications

  • Bachelor's degree or equivalent in related field.
  • 8-10+ years governance experience in a public company.
  • Proven ability to manage proxy statements and shareholder meetings.
  • Experience with entity management and subsidiary records.
  • Knowledge of the Securities Act of 1933, the 1934 Act, and listing standards.
  • Proficiency with EDGAR and SEC filing platforms (Workiva).
  • Strong MS Office skills; detail-oriented and organized.

Responsibilities

  • Support periodic and current reporting processes (Forms 10-K, 10-Q and 8-K) and proxy statement preparation.
  • Assist with due diligence for corporate transactions, mergers, and capital markets activities.
  • Maintain and update governance policies, charters and entity records; prepare board materials.
  • Conduct legal research and summarize findings for attorney review; manage communications with SEC and outside counsel.

About The Role

The Corporate Governance Analyst supports the company's governance function by, among other things, ensuring compliance with applicable regulatory requirements, maintaining Board and committee materials, and managing corporate records with accuracy and integrity. This role works closely with the Legal and Finance teams to coordinate SEC filings, proxy statement preparation, and Board and annual shareholder meeting logistics. The ideal candidate brings hands‑on experience from a publicly traded company environment and is comfortable operating in a structured, detail-oriented setting where precision and discretion are essential.

Key Responsibilities
Securities Law and SEC Compliance
  • Support periodic and current reporting processes (Forms 10-K, 10-Q and 8-K) and proxy statement
  • Manage insider trading compliance and assist with the preparation and filing of Section 16 reports (Forms 3, 4, and 5)
  • Monitor filing deadlines and maintain a compliance calendar to ensure timely submissions
  • Track changes in SEC rules and regulations
Corporate Transactions
  • Support attorneys in public and private securities offerings
  • Assist with due diligence for mergers, acquisitions, and other capital markets transactions
Corporate Governance & Board Support
  • Maintain and update corporate governance policies, charters and entity records
  • Assist with the preparation of board and committee meeting materials, including agendas, resolutions and minutes
  • Support planning and logistics for annual meeting of shareholders
General Legal Support
  • Conduct legal research and summarize findings for attorney review
  • Manage correspondence with the SEC, transfer agents, outside counsel, and other parties
Qualifications
Required
  • Bachelor's degree required; OR equivalent combination of education and directly relevant experience will be considered
  • 8-10+ years of corporate governance experience within a publicly traded company, with demonstrated knowledge of SEC regulations, stock exchange listing standards, and Board/committee support functions
  • Proven ability to manage proxy statement preparation, shareholder meeting coordination, and SEC filings
  • Strong working knowledge of entity management and subsidiary recordkeeping, with experience maintaining officer/director data and corporate minute books in an accurate and audit-ready state
  • Working knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and related rules and regulations
  • Proficiency with EDGAR, SEC filing platforms, such as Workiva and board portals
  • Strong proficiency in Microsoft Office Suite (Word, Excel, PowerPoint)
  • Exceptional organizational skills and attention to detail
  • Ability to manage competing priorities and meet strict deadlines
Preferred
  • Experience with capital markets transactions, including public offerings
  • Familiarity with XBRL/iXBRL tagging and financial document formatting
  • Notary Public certification
