Job summary

Bizcap US is seeking an Associate Corporate Counsel to join our in-house legal team in New York. The role blends day-to-day corporate matters with financing and lending transactions, requiring a pragmatic approach to balance risk with business needs.

You will handle corporate governance, advisory matters for internal teams, vendor contracts, NDAs, SaaS agreements, and regulatory issues affecting financing activities. A J.D.

Qualifications

• J.D. from an accredited law school.
• Active New York State Bar in good standing.
• 4–7 years of relevant legal experience, ideally in-house in financing/banking/fintech.
• Proven experience in transactional lending and debt finance.
• Strong commercial instincts and ability to translate complex legal issues for business stakeholders.

Responsibilities

• Structure & negotiate debt financing documents for borrower and lender sides.
• Manage conditions precedent and reporting obligations; assist with lender communications.
• Assist with corporate governance: entity management, board materials, resolutions, and secretarial records.
• Draft, review, and negotiate vendor contracts, NDAs, SaaS agreements, and marketing partnerships.
• Provide day-to-day legal advice to internal teams on corporate and regulatory matters.
• Stay updated on laws affecting financing companies, card issuers, and merchant cash advances.
