Qualifications

• 2+ years of direct debt financing experience involving structuring and negotiation of commercial loan facilities and secured transactions.
• Admitted to the Massachusetts Bar.
• Experience with venture debt, recurring revenue loans, asset-based lending, fund finance, or other debt financings.
• Interest in working with technology, life sciences, emerging growth companies, and venture capital funds.

Responsibilities

• Represent lenders and borrowers in a broad range of debt financing and secured transactions.
• Structure and negotiate commercial loan facilities and related financing arrangements.
• Advise clients on venture debt, recurring revenue loans, asset-based lending, fund financing, and other debt financings.
• Represent both private and public companies throughout the financing process.
• Draft and negotiate credit agreements, security agreements, loan documents, and related documents.
• Manage transactions from initial structuring and due diligence through negotiation and closing.
• Work directly with CEOs, boards of directors, general partners, venture funds, lenders, and other sophisticated clients.
