Qualifications

  • J.D. from an accredited law school.
  • Active New York State Bar in good standing.
  • 4–7 years of relevant legal experience, ideally in-house in financing/banking/fintech.
  • Proven experience in transactional lending and debt finance.
  • Strong commercial instincts and ability to translate complex legal issues for business stakeholders.

Responsibilities

  • Structure & negotiate debt financing documents for borrower and lender sides.
  • Manage conditions precedent and reporting obligations; assist with lender communications.
  • Assist with corporate governance: entity management, board materials, resolutions, and secretarial records.
  • Draft, review, and negotiate vendor contracts, NDAs, SaaS agreements, and marketing partnerships.
  • Provide day-to-day legal advice to internal teams on corporate and regulatory matters.
  • Stay updated on laws affecting financing companies, card issuers, and merchant cash advances.

Job description

We are seeking an Associate Corporate Counsel to join our growing in-house legal team. In this role, you will wear two critical hats: managing our day-to-day general corporate legal matters and driving our financing and lending transactions.

The ideal candidate has a strong foundation in corporate governance and extensive experience navigating complex debt financing transactions—whether for theborrower or the lender. The role requires pragmatic approach and understanding how to balance legal risk with commercial reality, translating complex legal issues into actionable business advice.

Key Responsibilities
Financing Transactions
  • Structure & Negotiate: Understand debt financing and review a variety of documents on a funder and borrower side, including credit facilities, security agreements, intercreditor agreements, and guarantees.
  • Transaction Management: Ensure all conditions precedent of the loan agreement are met and compliance metrics are established, assist with periodic reporting to the lender. Knowledge of UCC Article 9.
  • Banking: Experience working with card issuers, understanding banking AML/KYC procedures is a plus.
General Corporate & Commercial Law
  • Corporate Governance: Assist with entity management, board materials, resolutions, and maintaining corporate secretarial records for our various entities.
  • Commercial Contracts: Draft, review, and negotiate standard and non-standard commercial agreements, including vendor contracts, NDAs, SaaS agreements, and marketing partnerships.
  • Advisory: Provide day-to-day legal counsel to internal teams (Finance, Operations, Sales, and Product) on a wide range of corporate and operational issues.
  • Regulatory & Compliance: Stay abreast of changing state and federal regulations affecting financing companies, credit card issuers, and merchant cash advance providers.
  • Payments: Understanding of ACH direct debits, payments regulations, NACHA rules is a plus.
Qualifications & Experience
  • Education: J.D. from an accredited law school.
  • Bar Admission: Active member in good standing with the New York State Bar
  • Experience: 4–7 years of relevant legal experience, ideally includes in-house legal department (financing/banking/fintech industry experience is a major plus).
  • Financing Expertise: Proven track record in transactional lending and debt finance, with deep familiarity handling transactions from either the borrower or lender perspective.
  • Business Acumen: Strong commercial instincts with the ability to assess risk practically and findsolutions to help the business achieve its goals.
  • Communication: Exceptional written and verbal communication skills; ability to explain complex legal concepts plainly to non-legal stakeholders.

Compensation 150K- 200K annually depending on the experience.
