Job summary

RedSail is seeking a Corporate Counsel to support the General Counsel in day‑to‑day legal work across licensing, contracts, and regulatory compliance. The role sits at the intersection of technology, commercial strategy, and healthcare regulation, advising on licensing structures, data use, and PHI handling.

The successful candidate will review and negotiate software licenses, DPAs, BAAs, and vendor agreements, while collaborating with product and engineering to align legal risk with business

Qualifications

• JD required and active bar admission in one or more US jurisdictions.
• 3–5 years of professional experience in a law firm and/or in-house counsel position.
• Experience reviewing and negotiating software licenses and technology agreements.
• Ability to balance legal risk with business needs and provide pragmatic solutions.
• Ability to work cross-functionally and deliver clear guidance to non‑legal stakeholders.

Responsibilities

• Draft, review, and negotiate licensing agreements (software, data, IP) and DPAs.
• Review, draft, and negotiate commercial contracts (customer, vendor, partnerships, NDAs).
• Draft and negotiate BAAs and advise on PHI handling.
• Advise product/engineering on licensing structures, usage rights, and risk allocation.
• Support HIPAA compliance and broader healthcare/regulatory obligations.
