Job summary

Strategy is seeking a Corporate Counsel to join its in-house legal team at the Tysons, VA headquarters. The role touches capital markets, financing, corporate governance, securities compliance, and tax matters, with bitcoin at the center of Strategy's treasury strategy.

Location is onsite four days a week. The ideal candidate has a U.S. law degree, bar admission, 3–6 years of corporate experience, and familiarity with capital markets, M&A, and digital assets.

Qualifications

• J.D. from a U.S. accredited law school.
• Licensed to practice law in at least one U.S. jurisdiction.
• 3–6 years of corporate experience with a national law firm and/or in-house legal department.
• Broad corporate transactional experience including capital markets, financing transactions, M&A, and general corporate.

Responsibilities

• Growth-focused approach to protect and promote the business and close business-enabling deals.
• Support complex capital markets and financing transactions across the deal lifecycle, including drafting and negotiating operative documents.
• Support Bitcoin-related initiatives, treasury management, and related regulatory matters.
• Assist with M&A, JVs, corporate reorganizations, and other strategic transactions domestically and internationally.
• Assist with governance, board materials, minutes, resolutions, and domestic/international subsidiary governance.
• Advise on securities laws, prepare SEC filings, and support investor communications.
• Draft, review, and negotiate a wide range of commercial contracts.
• Collaborate with Finance, Treasury, and Tax on banking, equity, and tax matters.
• External counsel management and budgeting support.
