Job summary

Taylor Root is seeking a licensed attorney with 2+ years of experience to draft, negotiate, and manage a broad array of commercial and technology agreements. You will support corporate development through due diligence, acquisition documents, and post‑closing integration while advising on data privacy, trade controls, and regulatory compliance.

You will collaborate with cross‑functional teams to identify and mitigate legal risks and contribute to training and policy initiatives.

Qualifications

• J.D. from ABA-accredited law school with strong academic performance.
• Active bar membership in good standing in at least one U.S. jurisdiction.
• Minimum of two years of legal experience, preferably at multinational/top-tier law firm.
• Experience drafting, reviewing, and negotiating commercial and technology agreements.

Responsibilities

• Draft, review, and negotiate a wide range of commercial and technology agreements.
• Support corporate development through legal due diligence and acquisition documents.
• Partner with operational leaders to identify and mitigate legal risks.
• Advise on regulatory compliance matters including data privacy and trade controls.
• Manage pre-litigation disputes, subpoenas, and settlement negotiations; oversee outside counsel.
• Contribute to corporate compliance programs, policies, and training initiatives.
• Provide guidance on emerging issues involving AI, data governance, and technology-driven models.
• Collaborate with Legal on governance, IP, and labor/employment matters.

Job description

• Draft, review, and negotiate a wide range of commercial and technology agreements, including software licensing, SaaS and cloud services, supply and manufacturing, distribution and reseller arrangements, API and data licensing, professional services, and data processing agreements.
• Support corporate development activities by conducting legal due diligence, drafting and negotiating acquisition documents, and assisting with post-closing integration.
• Partner with operational leaders to identify, assess, and mitigate legal risks across day-to-day business operations.
• Advise on regulatory compliance matters, including data privacy, trade compliance and sanctions, consumer protection, and other industry-specific regulations.
• Manage pre-litigation disputes, subpoena responses, and settlement negotiations; oversee outside counsel on active litigation, including budget management and review of work product.
• Contribute to corporate compliance programs, policies, and training initiatives across the organization.
• Provide guidance on emerging legal issues involving artificial intelligence, data governance, and technology-driven business models.
• Collaborate with colleagues across the Legal department on corporate governance, intellectual property, labor and employment, and other specialized matters.
