Job summary

BCG Attorney Search in Timonium/Baltimore, MD seeks a Corporate Attorney with 3-7 years of experience to join its Business Law & Transactions practice. The candidate will advise privately held companies and owners on a broad range of matters.

Duties include representing clients in buy-side and sell-side M&A, equity and debt financings, drafting and negotiating purchase agreements and contracts, and serving as outside general counsel to private companies.

Qualifications

• 3-7 years of corporate/transactional experience.
• Strong drafting, negotiation, and analytical skills.
• Experience advising private-company clients preferred.

The ideal candidate will have a strong corporate and transactional background, advising privately held companies and business owners on a broad range of matters.

Duties

• Represent clients in buy-side and sell-side M&A transactions.
• Advise clients on equity and debt financings and other corporate transactions.
• Draft, review, and negotiate purchase agreements, commercial contracts, and related transaction documents.
• Counsel early-stage and growth companies on entity formation, funding strategies, corporate governance, and commercial agreements.
• Advise closely held businesses on general corporate and day-to-day business matters.
• Serve as outside general counsel to private companies across various industries.
• Manage transactions from initial structuring and due diligence through closing.
• Work directly with business owners, executives, and other key stakeholders.

Requirements

• 3-7 years of relevant corporate/transactional experience.
• Meaningful experience with M&A and general corporate matters.
• Strong drafting, negotiation, and analytical skills.
• Experience working directly with private-company clients preferred.
• Excellent communication and client-service skills.
• Maryland Bar admission required.

Education

• Juris Doctor (JD) degree.
