Job summary

LeoForce is seeking a Corporate Attorney or Partner in Chicago, IL. Requirements include a Juris Doctor and 5+ years of corporate law with IL bar admission, plus a hybrid work schedule and competitive compensation.

You will advise on mergers and acquisitions, governance, and a broad range of corporate matters, drafting and negotiating key agreements, overseeing due diligence, and ensuring cross‑department regulatory compliance.

Qualifications

• JD from an accredited law school.
• At least 5 years in corporate law.
• Active IL state bar admission.
• Strong drafting and negotiation abilities.
• Experience managing multiple complex matters in a fast-paced environment.
• Excellent analytical and decision-making skills.
• Excellent written and verbal communication at all levels.
• High professionalism and confidentiality.
• Solid understanding of corporate governance and secretarial duties.
• Ability to work independently and in a team.

Responsibilities

• Provide legal advice on corporate matters across the organization.
• Draft, review, and negotiate M&A agreements, partnership agreements, stock purchase agreements, and related documents.
• Advise on corporate governance, resolutions, board charters, and policies.
• Counsel on corporate structure, rights, obligations, and privileges.
• Assist with preparation and filing of required legal documents with relevant entities.
• Oversee due diligence processes and advise on risk management.
• Collaborate with other departments to ensure legal compliance.
• Stay updated on applicable laws and regulations across the business.

Responsibilities

• Provide legal advice and support on a wide range of corporate legal matters.
• Draft, review, and negotiate a wide variety of corporate documents such as merger and acquisition agreements, partnership agreements, stock purchase agreements, and other related documents.
• Advise on corporate governance matters, including the drafting and review of corporate resolutions, board and committee charters, and policies.
• Provide legal counsel on a broad range of corporate matters such as corporate structure, legal rights, obligations, and privileges.
• Assist with the preparation and filing of all required legal documents with appropriate entities.
• Oversee due diligence processes and provide advice on risk management and mitigation.
• Collaborate with other departments to ensure legal compliance across the organization.
• Develop and maintain an understanding of the business and its needs, and stay updated on relevant laws and regulations.

Qualifications

• Juris Doctor (JD) degree from an accredited law school.
• A minimum of 5 years of experience in corporate law
• Admission to the IL state bar.
• Excellent legal drafting skills and strong negotiation abilities.
• Proven experience in managing multiple, complex matters in a fast-paced environment.
• Exceptional analytical and decision-making skills.
• Excellent communication skills, both verbal and written, with the ability to interact effectively with all levels of the organization.
• High level of professionalism and confidentiality.
• Strong understanding of corporate governance issues and corporate secretarial duties.
