Qualifications

• 3–5 years of experience in Corporate, Emerging Companies & Venture Capital, or M&A.
• Experience representing emerging growth companies, venture capital funds, and private equity investors.
• Strong background in venture financings and technology‑focused M&A.
• Large law firm experience preferred.
• JD from an ABA‑accredited law school and active bar admission in the applicable jurisdiction.

Responsibilities

• Advising emerging growth and high‑growth technology companies on governance, equity plans, and compliance.
• Representing venture capital and private equity investors in financing transactions.
• Handling venture capital financings, negotiating term sheets, drafting documents, coordinating due diligence.
• Executing mergers, acquisitions, and strategic corporate transactions with cross‑functional teams.
• Providing day‑to‑day corporate counseling to technology clients and managing multiple deals.
