Job summary

Candidates should have at least 3 years of experience handling issuers in public and private offerings, interfacing with the SEC, and advising on disclosure, governance, and reporting; additional experience in public and private company M&A is a strong plus. The role offers client interaction, responsibility, and clear promotion paths.

Job description

A repeat client and major AmLaw firm with a new unposted search for a Corporate Associate to sit in the firm’s Tyson’s office.

The group is seeking an associate with at least 3 years’ of experience to join its Corporate M&A & Securities Practice. The ideal candidate will have extensive experience representing issuers in public and private offerings of debt and equity securities, interfacing with the SEC and other regulators, counseling public companies on disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters, as well as preparation of Exchange Act filings, such as Forms 10-K, 10-Q, 8-K and proxy statements. Additional experience with public and private company M&A is a strong plus.

The team invests in associates and the associates are all really close.

The deals are leanly staffed and offer client interaction and lots of responsibility.

Promotion for these class years are attainable and not overcrowded.

The group is in the early stages of reviewing candidates.
