Job summary

Jobot is seeking an experienced corporate transactional attorney in a role that focuses on mergers and acquisitions, financing transactions, and general corporate counseling. The candidate will work with public and private companies, private equity sponsors, investment funds, and sophisticated business clients, collaborating closely with senior attorneys and clients.

The ideal candidate will have 3–6 years of corporate transactional experience, a J.D., and bar admission.

Qualifications

  • 3–6 years of corporate transactional experience at a law firm.
  • Experience handling mergers and acquisitions, private equity transactions, or other sophisticated corporate matters.
  • Strong understanding of corporate governance and general corporate law.
  • Excellent drafting, negotiation, analytical and communication skills.
  • Outstanding academic credentials.

Responsibilities

  • Advise clients on mergers and acquisitions, strategic transactions, and corporate restructurings.
  • Represent public and private companies, private equity sponsors, investment funds, and emerging growth businesses in a variety of transactional matters.
  • Draft and negotiate purchase agreements, financing documents, shareholder agreements, and other transaction-related documents.
  • Counsel clients on corporate governance, securities compliance, and general corporate matters.
  • Conduct legal due diligence and assist in managing all phases of complex transactions.
  • Build strong client relationships while collaborating with attorneys across multiple practice areas.

Salary: $250,000 - $325,000 per year

Our role is ideal for an attorney with experience advising public and private companies, private equity firms, investors, and other sophisticated business clients on a wide range of transactional matters. The successful candidate will work on complex mergers and acquisitions, financing transactions, corporate governance matters, and general corporate counseling while collaborating closely with senior attorneys and clients.

  • The ideal candidate will have significant experience advising public companies on ongoing securities compliance matters, with additional exposure to capital markets transactions, M&A, and general corporate governance.
