Job summary

Quantum Leap Research, LLC is seeking a detail-oriented Contracts Manager to oversee drafting, negotiation, and administration of USG contracts and related agreements. The role requires expertise in government contracting, strong regulatory knowledge, and coordination with internal teams and external partners.

The successful candidate will ensure compliance with FAR/DFAR, ITAR, and OCI requirements, mitigate contractual risk, and support proposals and corporate development efforts.

Qualifications

• Minimum 5 years of government contract management experience.
• Top Secret security clearance or eligibility to obtain TS clearance.
• Strong understanding of FAR/DFAR, ITAR, OCIs and government contract vehicle management.
• Experience reviewing, drafting responses to, and negotiating USG and commercial contracts.
• Knowledge of government procurement regulations and contract law.
• Experience with USG T&M, Fixed Price, and Cost Reimbursement contracts, including OTAs.
• Demonstrated teamwork and communication skills.
• Ability to organize and manage multiple contract files and tasks.

Responsibilities

• Review, draft, negotiate, and administer USG contracts, subcontracts, SOWs, teaming agreements, POs, NDAs, licenses, and vendor contracts.
• Support proposal development from pre-award through post-award phases; provide contract-related problem solving.
• Analyze contract requirements for compliance with laws, rules, and regulations; identify and mitigate risk.
• Provide contractual advice to programs to inform rights and obligations under contract terms.
• Ensure compliance with FAR/DFAR and agency supplements.
• Identify, review, and propose solutions to mitigate organizational conflicts of interest.
• Ensure alignment with RFP/RFI terms and customer requests for responses.
• Maintain contract files and support corporate development/ M&A activities as needed.
• Assist with entity formation, dissolution, and multi-jurisdictional corporate maintenance.
• Monitor evolving government regulations and industry trends.

We are seeking a detail-oriented Contracts Manager to oversee the drafting, negotiation, and management of contracts, ensuring compliance with company policies and legal requirements. The ideal candidate will collaborate with internal teams and external partners to mitigate risks and optimize contract performance.

Responsibilities:

• Contract review, negotiation and administration – USG Contracts, Subcontracts (as both Prime and Sub), Statements of Work, Teaming Agreements, Purchase Orders, NDAs, Licensing Agreements, Vendor Contracts, etc.
• Proposal Development and Drafting – act as subject matter expert for pre-award through post-award proposal support, problem solving and contract administration.
• Analyze significant contract requirements, special provisions, terms and conditions to ensure compliance with applicable laws, rules and regulations.
• Provide contractual advice and recommendations to identify, mitigate and resolve contractual risk.
• Compliance with FAR/DFAR and other agency supplements.
• Identify, review, and recommend solutions to mitigate Organizational Conflicts of Interest.
• Ensure compliance with terms of RFP, RFI or other similar customer requests for company responses.
• Organize, manage and maintain contract files.
• Advise Program Management team of rights and obligations under contract terms.
• Support legal department as required.
• Support Corporate Development/M&A, including due diligence and post-closing integration.
• Assist with entity formation, dissolution, and corporate maintenance across multiple jurisdictions.
• Keep abreast of evolving government regulations and industry trends.

Qualifications:

• A minimum of 5years of experience with government contract management.

• Understanding of federal contracting principles, including FAR/DFARs, ITAR, OCIs and other contract vehicle management.
• Experience reviewing, drafting responses to, and negotiating USG and commercial contracts.

• Experience with USG T&M, Fixed Price, and Cost Reimbursement Contracts, including OTAs.
