The Legal Team at Imaginable Futures ("IF") is seeking a highly organized and mission-driven Contracts & Grants Manager to support IF's venture capital investments and grants ("investments") and overall governance. We are looking for a team member to provide a seamless investment management experience to staff and partners, support compliance and governance functions, and analyze Investment data to help IF learn. The Contracts & Grants Manager will coordinate and administer our overall Investment process and collaborate with staff across the organization to improve its effectiveness and efficiency.

The ideal candidate will have experience in the venture capital or non-profit sector and working with CRM software, enjoy reviewing due diligence and structuring investments, and working with data systems. The Manager will join a growing Operations & Strategic Projects team, playing a critical role in developing systems and processes that help staff and partners thrive. The Manager will report to the Global Head of Legal.

Investment Management:

• -Support the IF teams and internal committees by monitoring the pipeline of Investment opportunities, compiling materials for and monitoring follow-up from assessment meetings
• -Review investment materials and respond to staff to address grant structure, compliance, and risk management
• -Manage files in Salesforce, IF's investment management software, including maintaining integrity of data
• -Partner with the Global Head of Legal to create and maintain files of record, and documentation of all investment processes and policies
• -Conduct and document initial legal due diligence for all investments and monitor legal issues throughout process in partnership with the Global Head of Legal
• -Support the development of training materials and logistics of workshops on grant making and philanthropy topics, and support orientations on investments for all new staff
• -Generate associated investment contracts and grant agreements; Assist with preparation and disbursement of funds
• -Coordinate with program staff to manage electronic files related to all aspects of the investment cycle

Legal Support:

• -Assist attorneys in closing and ongoing management of venture capital investment transactions in the US and globally
• -Track transaction documents, stock certificates and related materials
• -Review board/stockholder consents and other related portfolio maintenance actions
• -Review grant agreements and provide drafting support to investment leads
• -Perform legal due diligence on prospective grantees and manage standard legal templates
• -Assist with obtaining the necessary internal approvals, which includes working with individuals at all levels of the organization
• -Support, as necessary, IF's annual tax return and audit
