Job summary

Bosun Solutions is seeking an experienced Contract Manager to join its in-house legal team in Dallas, TX. This newly created role focuses on commercial contract management, including drafting and redlining agreements, managing risk, and ensuring compliance across the organization.

The successful candidate will work closely with the General Counsel, own day-to-day contract responsibilities, and help streamline templates, processes, and documentation.

Qualifications

• 5+ years of experience in commercial contract management, contract administration, corporate or transactional paralegal work, construction contracts, or a closely related field.
• Demonstrated experience preparing, reviewing, revising, and redlining commercial agreements.
• Ability to identify potential contractual risks, recognize non-standard provisions, and determine when matters should be escalated for legal review.
• Experience managing contracts throughout their lifecycle, including execution, document control, amendments, deadlines, and compliance requirements.
• Strong proficiency in Microsoft Word, including Track Changes, document comparison, formatting, and redlining.
• Excellent organizational skills with the ability to manage multiple agreements, deadlines, and competing priorities.
• Strong written and verbal communication skills and the ability to work effectively with attorneys, executives, operational teams, and external parties.
• High degree of professionalism, discretion, attention to detail, and sound judgment.
• Ability to work independently, take ownership of responsibilities, and proactively identify opportunities for improvement.

Responsibilities

• Manage commercial contracts throughout their lifecycle, from initial preparation and review through negotiation support, execution, administration, and closeout.
• Prepare, revise, and customize owner contracts, subcontract agreements, vendor agreements, addenda, amendments, and other commercial agreements using company-approved templates and established language.
• Conduct first-pass contract reviews and redlines, identifying inconsistencies, non-standard language, missing information, and potential contractual risks.
• Review key contractual provisions, including scope of work, payment terms, insurance requirements, indemnification, limitation of liability, termination, warranties, notice requirements, and dispute resolution.
• Identify matters requiring legal review and escalated appropriate issues to General Counsel.
• Coordinate contract revisions, approvals, and execution with internal stakeholders, clients, subcontractors, vendors, and outside counsel as needed.
• Track contractual deadlines, deliverables, renewals, notice requirements, approvals, and other obligations.
• Review and maintain Certificates of Insurance and other contract-related compliance documentation.
