• Draft, review, negotiate, and administer a broad range of commercial agreements.
• Manage contracts throughout the contract lifecycle: intake, negotiation, execution, amendment, renewal, termination.
• Identify and address significant legal, regulatory, compliance, financial, and commercial risks.
• Collaborate with Legal, Compliance, and Global Trade teams on regulatory requirements.
• Support government contracting activities and export controls compliance.
• Develop, maintain, and improve contract templates, playbooks, and procedures.

Position Summary:

The Contract Manager serves as a strategic business partner responsible for drafting, reviewing, negotiating, and administering commercial contracts while providing practical, risk-based guidance to internal stakeholders. This role partners closely with cross-functional stakeholders to manage contractual, commercial, regulatory, and operational risks while enabling business growth. The successful candidate will combine strong contract management expertise, sound business judgement, and a practical, solutions-oriented approach to strategic initiatives and complex commercial transactions. Qualified candidates must be able to work a hybrid schedule at our Bloomington, MN office.

Role Responsibilities:

• Draft, review, negotiate, and administer a broad range of commercial agreements.
• Manage contracts throughout the contract lifecycle, including intake, negotiation, execution, amendment, renewal, and termination.
• Partner with business stakeholders to assess contractual obligations, identify risks, and recommend practical solutions that align with company objectives.
• Review proposals, purchase orders, statements of work, terms and conditions, and related documentation for completeness, accuracy, and compliance.
• Identify and elevate significant legal, regulatory, compliance, financial, and commercial risks as appropriate.
• Collaborate with Legal, Compliance, and Global Trade Compliance teams to address contractual and regulatory requirements.
• Support government contracting activities and assist with compliance related to export controls, sanctions, licensing requirements, and related matters.
• Develop, maintain, and enhance contract templates, playbooks, procedures, training materials, and related contracting resources while driving continuous improvement of contract management processes, tools, and operational efficiencies.
• Deliver contract-related training and guidance to business stakeholders to promote consistency and risk awareness across the organization.
• Drive process improvement initiatives that increase contracting efficiency, reduce risk, and support business scalability.

Minimum Qualifications:

• Bachelor's degree
• 7+ years of experience drafting, reviewing, negotiating, and administering commercial contracts.

Preferred Qualifications:

• Strong understanding of commercial contracting principles.
• Juris Doctor (JD), paralegal certification, NCMA certification, or other relevant professional credentials.
• Experience supporting manufacturing, industrial, engineering, or other technical businesses.
• Experience with U.S. federal, state, or local government contracts.
• Familiarity with US Government acquisition regulations (FAR & DFAR) and federal contracting requirements.
• Experience with privacy and cybersecurity provisions in contracts
• Experience with export controls, trade compliance, or international commercial agreements.
• Excellent written, verbal, analytical, and negotiation skills.
• Demonstrated ability to manage multiple priorities and work independently.

Relocation:

This position is not eligible for relocation assistance.

Annual Salary Range:

$111,840 -139,800. Actual salaries will vary based on several factors including, but not limited to applicable work experience, training, education, performance.

This position is eligible for annual incentive plan based on performance and company growth.
